BUSINESS KEY FORM

RECITALS

WHEREAS, Business Name: (the "Issuer") is the owner or authorized manager of the business premises located at Premises Address: ; and

WHEREAS, Recipient Name: of Address: has requested issuance of keys and access devices to the premises described above; and

WHEREAS, the parties wish to set forth the terms governing issuance, custody, return, and liability for keys and access devices.

SCOPE OF WORK / SCOPE OF ACCESS

The Issuer will provide keys, access cards, fobs, and related access devices (collectively, "Keys") to the Recipient. The Recipient is authorized to use Keys solely for the purposes and areas specified below:

KEY INVENTORY (ISSUED)

List each Key or access device issued. Additional items must be listed on an attached schedule and are incorporated herein.

PAYMENT TERMS

The Recipient agrees to pay fees associated with issuance, replacement, and administrative handling of Keys as described below.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

The Recipient shall maintain as confidential all security information, passcodes, alarm procedures, and any other non-public information disclosed in connection with the Keys. Recipient shall not disclose such information except to those employees or agents with a need to know. Confidentiality obligations survive termination for a period of years.

LIABILITY, LOSS, AND REPLACEMENT

The Recipient is responsible for custody of Keys and agrees not to duplicate Keys without written authorization. Loss, theft, or unauthorized duplication must be reported immediately. Recipient shall be liable for all costs to rekey, replace locks, and remediate security breaches resulting from loss or unauthorized use. Replacement cost estimate (per item):

The Recipient shall indemnify and hold the Issuer harmless from claims, damages, and expenses arising from the Recipient's negligence, willful misconduct, or failure to timely report lost or stolen Keys.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

This Agreement, together with any schedules or attachments, constitutes the entire agreement between the parties with respect to Keys and supersedes all prior negotiations, representations, and agreements, whether written or oral.

ACKNOWLEDGMENT

Recipient acknowledges receipt of the Keys listed above and agrees to comply with all terms of this Business Key Form. Recipient further certifies that the information provided herein is true and complete to the best of Recipient's knowledge.
