BUSINESS KEYING FILE AGREEMENT

Parties and Effective Date

This Business Keying File Agreement (the Agreement) is entered into as of , by and between:

WHEREAS

WHEREAS, Client operates premises and assets requiring a controlled keying system and an authoritative record of keys, locks, and access privileges (the Business Keying File); and

WHEREAS, Service Provider is duly qualified to provide keying design, key cutting, master keying, and secure maintenance of keying records and agrees to maintain the Business Keying File in accordance with the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Service Provider shall perform the keying services described below and shall create and maintain the Business Keying File for Client. The Business Keying File shall include keying schematics, master key listings, key codes, key issuance records, lock serial numbers, and revisions to access groupings.

(Additional inventory entries may be appended to the Business Keying File by Service Provider in the ordinary course of record-keeping. Each addition shall include signature or electronic authorization in accordance with Section 6.)

Payment Terms

Client shall pay Service Provider the fees set forth below for services and maintenance of the Business Keying File. All sums are payable in lawful currency of the United States unless otherwise agreed in writing.

This Agreement shall commence on the Start Date and, unless terminated earlier in accordance with this Section, shall continue until the End Date.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Upon termination, Service Provider shall deliver the current Business Keying File to Client and certify in writing that no unauthorized duplicates of keys are held by Service Provider except as authorized in writing.

Confidentiality

The Business Keying File and all information contained therein, including but not limited to key codes, master key references, and key holder identities, constitute Confidential Information. Service Provider shall: (a) maintain such Confidential Information in strict confidence; (b) restrict access to authorized personnel only; (c) use the Confidential Information solely for performance under this Agreement; and (d) not disclose Confidential Information to any third party without prior written consent of Client, except as required by law. Service Provider shall implement and maintain reasonable physical and electronic safeguards to prevent unauthorized access or duplication of keys and codes.

Records, Audit, and Replacement Keys

Service Provider shall retain copies of all records relevant to the creation, issuance, and modification of keys for a period of not less than three (3) years following termination of this Agreement. Client has the right to audit such records upon reasonable prior notice. Replacement keys cut by the Service Provider shall be logged promptly and appended to the Business Keying File with the identity of the requester and authorizing party.

Indemnity and Limitation of Liability

Service Provider shall indemnify, defend and hold Client harmless from and against claims arising from Service Provider's negligence or willful misconduct in the performance of keying services. Except for indemnity for willful misconduct, in no event shall either party be liable for consequential, incidental, or punitive damages. The aggregate liability of Service Provider for direct damages arising out of or related to this Agreement shall not exceed the total amount paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflict of law principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located in that state.

Entire Agreement and Amendment

This Agreement, together with any attachments or exhibits executed contemporaneously, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations and agreements. No amendment to this Agreement is effective unless in writing and signed by both parties.

Notices shall be delivered to the addresses above by hand, certified mail, or commercial delivery service and shall be deemed given upon receipt.
