BUSINESS KEYWAR DOCUMENT

This Business Keywar Agreement (the Agreement) is entered into as of by and between the parties listed below.

Recitals

WHEREAS, Provider is engaged in the business of developing, supplying, and supporting the Keywar solution, including but not limited to encryption key provisioning, secure key lifecycle management, and associated advisory services (collectively, the Keywar Services); and

WHEREAS, Client desires to procure from Provider certain Keywar Services and Provider agrees to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend to establish the rights, duties, payment obligations, and confidentiality protections applicable to the provision and use of the Keywar Services.

Scope of Work

Provider shall perform the Keywar Services described below. The Scope of Work shall include deliverables, milestones, and acceptance criteria. Any modification to the Scope of Work requires a written amendment signed by both parties.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for the Keywar Services. All fees are payable in United States Dollars unless otherwise agreed in writing. Provider shall invoice Client in accordance with the payment schedule below.

Late payments shall incur interest at the lesser of percent per month or dollars, calculated from the date payment was due until paid in full. Client shall also reimburse Provider for reasonable collection costs and attorneys' fees incurred in enforcing unpaid obligations.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above after receipt of written notice specifying the breach. Termination shall be without prejudice to any accrued rights or liabilities of either party. Sections regarding Confidentiality, Payment, Indemnities, and Governing Law survive termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential, including technical data, trade secrets, business and financial information, customer lists, and encryption key material related to the Keywar Services.

The Receiving Party shall: (a) maintain Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, contractors, or agents with a need to know who are bound by confidentiality obligations at least as protective as this Agreement; and (c) use Confidential Information solely to perform obligations or exercise rights under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than as a result of a breach by the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure; (iii) is rightfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Upon termination or request of the Disclosing Party, the Receiving Party shall promptly return or destroy all Confidential Information and certify in writing that such return or destruction has occurred, except to the extent retention is required by applicable law, regulatory requirement, or retained in archival backup systems.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes subject to this Agreement.

Entire Agreement and Miscellaneous

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided that the assignee assumes all obligations herein. Notices under this Agreement shall be sent to the addresses provided above or to alternate notice contacts specified below.

Representations and Remedies

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. In addition to other remedies available at law or equity, the parties acknowledge that a breach of the confidentiality provisions or unauthorized use of Keywar materials may cause irreparable harm for which monetary damages would be inadequate, and the non-breaching party shall be entitled to injunctive relief.
