BUSINESS KPI CHECKLIST

This Business KPI Checklist and Implementation Agreement is made and entered into by the parties identified below. Company Name: Consultant/Partner Name:

WHEREAS

WHEREAS, Company requires a documented set of Key Performance Indicators ("KPIs") to measure, monitor, and improve operational and strategic performance; and

WHEREAS, Partner possesses experience and capability to advise on KPI definition, measurement methodology, data collection, reporting cadence, and remediation actions; and

WHEREAS, the parties desire to record KPI definitions, targets, ownership, measurement frequency, and associated responsibilities, and to set terms for services and confidentiality concerning KPI-related information.

SCOPE OF WORK

The Partner will assist in defining KPI metrics, establishing data sources and collection procedures, setting target thresholds, implementing reporting templates, and recommending corrective actions where KPIs fall below agreed thresholds. Deliverables will include KPI definitions, a finalized KPI checklist, and a reporting schedule.

Populate each KPI row with the metric name, measurement unit, target, frequency, owner, last measured date, current status, and corrective actions if applicable.

PAYMENT TERMS

As consideration for the services described herein, Company agrees to pay Partner in accordance with the following terms.

Invoices are due within the period specified in the payment schedule. Late payments shall incur the agreed late fee and the non-defaulting party may suspend performance after providing written notice of fifteen (15) calendar days from the invoice due date.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than prior to the intended termination date. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" includes business plans, KPI data, reporting outputs, source data, and any non-public information disclosed by either party in connection with this Agreement. Each party shall: (a) hold Confidential Information in strict confidence; (b) use it only for purposes of performing obligations under this Agreement; and (c) restrict disclosure to employees or contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is publicly available other than through a breach of this Agreement or independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits, or completed KPI checklists signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.
