WHEREAS, Client requires custom-printed labels for commercial use and has requested that Printer produce, finish and deliver such labels in accordance with the specifications and schedule set forth herein; and

WHEREAS, Printer represents that it has the facilities, expertise and equipment necessary to produce the labels in the quantities, materials, and quality standards agreed by the parties;

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's nonpublic business information, specifications, artwork, pricing and trade secrets disclosed in connection with this Agreement. Confidential information shall not be disclosed to third parties except to employees and contractors who have a need to know and who are bound by confidentiality obligations. Confidentiality obligations survive termination for a period of three (3) years.

INTELLECTUAL PROPERTY AND LICENSE

Client represents and warrants that it owns or has secured sufficient rights to use all artwork and content provided to Printer. Client grants Printer a nonexclusive, nontransferable license to reproduce and print Client-supplied artwork solely for the purpose of fulfilling Client orders under this Agreement. Printer shall retain no ownership rights in Client's artwork, except for retained archival files as required for order fulfillment and quality control.

WARRANTIES; LIMITATION OF LIABILITY; INDEMNITY

Printer warrants that finished labels will conform to the specifications set forth in the Scope of Work and will be free from defects in workmanship for a period of from delivery. Except for the foregoing warranty, services are provided "AS IS" and Printer disclaims all other warranties, express or implied.

Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability for claims arising under this Agreement shall not exceed the total amount actually paid to Printer by Client under this Agreement. Neither party shall be liable for special, incidental, consequential or punitive damages.

Client shall indemnify, defend and hold Printer harmless from and against any claims, damages or losses arising from Client-provided artwork, including alleged infringement of third-party intellectual property rights, except to the extent caused by Printer's willful misconduct.

PRODUCTION SCHEDULE, DELIVERY AND RISK OF LOSS

RETURNS, REPRINTS AND CORRECTIONS

Printer shall correct, at its expense, any defects in manufacturing that are reported in writing within the warranty period. Printer's obligation for defective product shall be limited to reprinting nonconforming labels or issuing a credit for the defective quantity, at Printer's option. Corrections due to Client-provided artwork errors shall be billed at standard rework rates.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits and approved proofs, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any modification must be made in writing and signed by both parties.

MISCELLANEOUS

Notices shall be in writing and delivered to the addresses below or to the email addresses provided in the signature block. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
