BUSINESS LABEL TEMPLATE

Parties and Effective Date

This Business Label Template Agreement (the Agreement) is entered into as of , by and between:

Recitals

WHEREAS, Party A is engaged in the manufacture, distribution, or sale of goods that require commercial labels and packaging information; and

WHEREAS, Party B possesses design, production and/or printing capabilities and agrees to provide label design, specification, proofing and/or printing services for Party A in accordance with the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows.

Scope of Work

Party B will provide services described in the Label Specifications below and will perform all work in a commercially reasonable manner consistent with industry standards. Services include design adjustments, production proofs, print production, quality inspection, and delivery as specified.

Payment Terms

Party A shall pay Party B for services and manufactured labels as follows. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Party B may suspend production for invoices more than days past due following written notice.

Term and Termination

This Agreement commences on , and continues until , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receiving written notice of the breach.

Confidentiality

Each party shall keep confidential all proprietary, financial, business and technical information disclosed by the other party that is marked confidential or that reasonably should be understood to be confidential (Confidential Information). Confidential Information shall not include information that is (a) already known to the receiving party without an obligation of confidentiality, (b) publicly available through no wrongful act of the receiving party, or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose such information to third parties except to employees, contractors, or professional advisors who have a need to know and are bound to confidentiality obligations no less protective than those herein.

Intellectual Property; Indemnity

Party A retains all rights, title and interest in artwork, trademarks and proprietary textual content provided to Party B for label production. Party B shall not assert any ownership interest in such materials. Party B grants Party A a non-exclusive license to any modifications made by Party B for the sole purpose of production under this Agreement.

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of representations, infringement of third-party intellectual property rights, negligence, or willful misconduct in connection with this Agreement.

Warranties and Limitation of Liability

Party B warrants that labels supplied will substantially conform to the agreed specifications at the time of delivery. EXCEPT FOR THE FOREGOING, NEITHER PARTY MAKES ANY WARRANTY, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INDIRECT OR PUNITIVE DAMAGES, AND LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT WITH RESPECT TO THE APPLICABLE ORDER.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any attachments and purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals or communications. Any amendment or modification must be made in writing and signed by authorized representatives of both parties.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices are effective upon receipt.
