Recitals

WHEREAS, Client Name: desires to engage Service Provider Name: to perform certain business development, research, and advisory services;

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the services set forth below in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which such services will be provided.

Scope of Work

Service Provider shall perform the services described below. The parties acknowledge that the scope may be amended only by written agreement signed by authorized representatives of both parties.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth below in consideration for the performance of services. All fees are payable in United States dollars unless otherwise agreed in writing.

Invoices are due upon receipt unless otherwise specified. Overdue amounts shall accrue interest at the rate specified above and the prevailing collection costs, including reasonable attorney fees, shall be payable by the defaulting party.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice of such breach or immediately for insolvency, bankruptcy, or unlawful conduct materially affecting performance.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party") except as required by law. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form and designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party will (a) use Confidential Information only to perform its obligations under this Agreement, (b) restrict access to Confidential Information to employees and contractors with a need to know, and (c) be responsible for breaches of confidentiality by its permitted recipients. Confidentiality obligations survive termination for a period of unless a longer period is required by law.

Representations & Warranties

Each party represents that it has the corporate power and authority to enter into this Agreement and that execution and performance will not violate other agreements. Service Provider represents that services will be performed in a professional and workmanlike manner in accordance with industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

Entire Agreement

This Agreement, including any exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to its subject matter. No modification shall be binding unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets. If any provision is held invalid, the remaining provisions will continue in full force and effect.
