RECITALS

WHEREAS, Contractor is duly qualified, experienced, and willing to furnish the materials, labor, supervision, and warranty obligations described in this Proposal in accordance with the terms and conditions set forth below; and

Either party may terminate this Proposal for material breach if the breaching party fails to cure such breach within Notice Period: days after written notice. In the event of termination, Client shall pay Contractor for all work performed and materials procured through the effective date of termination, together with any reasonable demobilization costs.

CONFIDENTIALITY

Each party agrees to hold in confidence and not disclose to third parties any Confidential Information received from the other party in connection with this Proposal, except as required by law or to perform its obligations hereunder. Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving party or which is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

WARRANTY & LIMITATIONS

Contractor warrants that materials supplied shall be of good quality and that the installation will be performed in a workmanlike manner for a period of Warranty Period: from the date of completion. This warranty does not cover damage due to misuse, normal wear and tear, or alterations by others.

GOVERNING LAW

This Proposal and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of Governing State: without regard to choice of law principles.

ENTIRE AGREEMENT

This Proposal, together with any exhibits or change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, representations, negotiations and agreements, whether oral or written.
