This Business Landscape Template is drafted as a General Business Agreement between two contracting parties and is intended to document the working relationship, responsibilities, payment, confidentiality, and governing terms applicable to the services and deliverables described below.

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional business analysis, market assessment and strategic planning services; and

WHEREAS, Client desires to retain Service Provider to prepare a business landscape study and related deliverables as set forth in this Agreement, and Service Provider agrees to provide such services under the terms and conditions contained herein.

Scope of Work

Service Provider will perform the following tasks, analysis, and deliverables (the "Services"). The Services shall include detailed market mapping, competitor analysis, opportunity assessment, stakeholder interviews, recommended go-to-market options, and a final written report with an executive summary.

Payment Terms

The Client shall pay Service Provider for the Services in accordance with the terms below.

Any amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. In addition to interest, Client shall be responsible for all collection costs and reasonable attorneys' fees incurred by Service Provider in enforcing payment.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach following written notice and a cure period equal to the notice period set forth above. Termination for convenience by either party requires the same written notice period. Termination does not relieve Client of its obligation to pay for Services performed prior to termination or for non-cancellable expenses reasonably incurred by Service Provider.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose or use any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform obligations under this Agreement. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form. Confidential Information does not include information that is or becomes generally known to the public other than by breach of this Agreement, is already rightfully in the possession of the Receiving Party prior to disclosure, or is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination or written request, the Receiving Party shall return or destroy Confidential Information and certify such return or destruction in writing.

Intellectual Property & Deliverables

Service Provider shall retain ownership of its pre-existing intellectual property, methodologies and tools. Upon full payment of amounts due under this Agreement, Service Provider assigns to Client a perpetual, non-exclusive license to use the final deliverables for Client's internal business purposes. Service Provider retains the right to use anonymized findings for internal record-keeping and bona fide marketing purposes provided no Confidential Information is disclosed.

Representations, Indemnity & Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Client agrees to indemnify and hold harmless Service Provider from claims arising out of Client-provided data, third-party materials, or Client's misuse of deliverables. To the maximum extent permitted by law, Service Provider's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of:

Entire Agreement

This Agreement, including all appendices and any statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by duly authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as a party may designate by written notice. Notice is effective upon receipt.

Acceptance

Deliverables shall be deemed accepted upon Client's written sign-off or, absent written sign-off, seven (7) days after delivery if Client has not provided a written list of deficiencies. Client's obligation to pay is not contingent on Client's use of the deliverables.
