Business Landscapes Document

This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Contractor is duly qualified and experienced in providing commercial and residential landscaping, grounds maintenance, irrigation maintenance and related site services ("Services") and holds all licenses and insurance required to perform such Services; and

WHEREAS, Client desires to retain Contractor to perform landscaping and related services at the property located at and Contractor is willing to perform such Services under the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Contractor shall provide the Services described below and such additional work as the parties may agree in writing. Contractor shall perform the Services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Contractor for the Services in accordance with the following terms:

Invoices are due and payable within days of receipt. Amounts unpaid after the due date shall accrue interest at the rate of or the maximum rate permitted by applicable law, whichever is lower. Client shall also pay reasonable collection costs, including attorneys' fees, for late payments.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party no less than prior to the effective termination date. Either party may terminate for material breach upon written notice if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice. Termination shall not relieve Client of the obligation to pay for Services performed and costs incurred prior to termination.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years thereafter, each party shall keep confidential and shall not disclose to third parties any non-public business, technical or financial information disclosed by the other party that is designated as confidential or that by its nature should be reasonably understood to be confidential ("Confidential Information"), except as required by law. Confidential Information does not include information that (a) is or becomes public other than by breach of this Agreement; (b) is rightfully received from a third party without obligation of confidentiality; or (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

If a party is required by law to disclose Confidential Information, it shall provide prompt written notice to the other party and shall cooperate to seek protective treatment or a limited disclosure.

Parties acknowledge exceptions listed above and agree to the procedures for compelled disclosures.

INSURANCE AND LIABILITY

Contractor shall maintain commercial general liability insurance and workers' compensation coverage as required by law and shall provide evidence of insurance upon Client request. Except for willful misconduct or gross negligence, neither party shall be liable for incidental, consequential or punitive damages. Contractor's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total amounts paid by Client to Contractor under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Any action to enforce this Agreement shall be brought exclusively in the state or federal courts located in the same state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. This Agreement may be amended only by a written instrument signed by both parties.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an employer‑employee, joint venture or agency relationship.
