What a Business Landside Agreement Covers

A Business Landside Agreement is a written contract between a landowner, terminal operator, carrier, or service provider that governs ground-level logistics, access, and responsibilities for loading, unloading, storage, access control, and on-site services. Typical provisions address scope of services, operational hours, site access and security, equipment and personnel responsibilities, insurance and indemnity, fees and payment terms, performance standards, and termination. These agreements help align operational handoffs between parties that use port, terminal, rail yard, warehouse, or other landside facilities and reduce disputes about liability, access, and costs.

Why this Agreement Matters for Operations and Risk Control

A clear Business Landside Agreement defines responsibilities, limits liability, and documents insurance and compliance expectations so operations can proceed without repeated ad hoc negotiation. It reduces service interruptions, clarifies billing and access rules, and provides a contract foundation for dispute resolution and regulatory review.

Why this Agreement Matters for Operations and Risk Control

Typical parties who prepare or sign this agreement

The contract is commonly completed and reviewed by a mix of operational, legal, and finance stakeholders before execution.

  • Logistics managers and operations directors who define site access, loading windows, and performance SLAs.
  • Terminal and warehouse operators responsible for site security, equipment, and compliance with local ordinances.
  • Third-party carriers, drayage providers, and service vendors that require defined access, billing, and liability terms.

Final signatures typically require approval from authorized signatories and verification of insurance certificates and, where applicable, notarization or witness steps.

Core clauses to include in a professional Business Landside Agreement

A robust agreement groups operational terms, financial terms, and risk allocation into clear clauses so both parties can implement procedures without ambiguity. Make key exhibits and schedules part of the main agreement rather than separate, informal attachments.

Parties & Definitions

Clearly identify contracting entities, roles (operator, carrier, vendor), and defined terms used throughout to prevent ambiguity in operational interpretation.

Scope of Services

Describe allowed activities, facility access points, permitted equipment, hours of operation, and restrictions on storage or hazardous materials.

Fees & Payment

State fee schedule, invoicing cadence, payment terms, late payment penalties, and any pass-through costs such as storage or demurrage.

Insurance & Indemnity

Specify minimum insurance limits, additional insured obligations, indemnity carve-outs, and the required certificate wording.

Performance Standards

Set measurable KPIs (turn times, queue limits), remedies for noncompliance, and required notifications for delays or incidents.

Term & Termination

Define contract duration, renewal mechanics, notice requirements for termination, and post-termination access and removal procedures.

Step-by-step: preparing, approving, and signing the agreement

Follow a consistent internal workflow to collect approvals, verify insurance, and obtain signatures to minimize delays and exposure.

  • 01
Drafting: Populate parties, scope, fees, and exhibits; attach site map and insurance requirements.
  • 02
Internal Review: Route to operations, safety, finance, and legal for redlines and insurance verification.
  • 03
Counterparty Review: Share the draft and consolidate edits; confirm certificate of insurance meets requirements.
  • 04
Execution: Collect signatures from authorized signers; retain fully executed copy and distribute to stakeholders.

Configuring an online signing workflow for this agreement

Set up a sequential signing workflow that enforces authentication, signature order, and required attachments to ensure an auditable record.

Field Configuration
Signature Order Set signer sequence: Company A → Company B → Witness/Notary
Required Attachments Require certificate of insurance upload before signing completes
Authentication Use email + SMS code or KBA for higher assurance signers
Audit Trail Enable detailed logs capturing IP, timestamp, and document history

Distribution and platform considerations for electronic execution

Choose delivery and authentication methods that match legal risk and counterparty capability before sending the agreement for signature.

  • Integrations: Link to systems such as Salesforce, NetSuite, Microsoft 365, Google Workspace for automatic recordkeeping
  • File formats: Use PDF or DOCX; preserve exhibits as PDF/A when long-term retention is required
  • Authentication options: Offer email link, SMS code, or identity verification for higher-risk signings

Maintain a central, versioned repository and ensure recipients can open and reproduce executed documents for audits or disputes.

Where to send or file the executed agreement

After execution distribute certified copies to operational, insurance, and finance teams and store a read-only master copy in a secure repository.

  • Operations: Provide final copy and access instructions to operations and site supervisors
  • Insurance: Send certificate details to insurance contact for verification
  • Finance: Send invoice and executed agreement to accounts payable
  • Legal Archive: Store master executed copy in secure document management system
