BUSINESS LAUNCHPAD TEMPLATE

This Business Launchpad Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider: .

Recitals

WHEREAS, Client seeks professional services and strategic support to plan, develop and launch a new commercial offering, product, or business line (the Launch Project) and desires to engage Provider to provide such services under the terms set forth in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources to perform the services described in this Agreement and is willing to undertake the Launch Project in accordance with the Scope of Work and Payment Terms established below.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties agree as follows.

Scope of Work

Provider shall perform the services and deliverables necessary to prepare, validate, and launch Client's Launch Project. Services shall include strategic planning, market validation, go-to-market preparation, collateral and digital asset creation, project management, and launch execution support as described below. All deliverables shall be provided in writing or electronic form unless otherwise agreed.

Payment Terms

Client shall pay Provider for performance of the Scope of Work in accordance with the following fees and schedule. All amounts are stated in lawful currency of the jurisdiction specified in Governing Law.

Unless otherwise agreed in writing, Provider shall issue invoices in accordance with the Payment Schedule and Client shall pay undisputed invoices within days of receipt. Payments not received when due shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law. In addition, Client shall reimburse Provider for reasonable collection costs incurred in enforcing payment.

Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the intended termination date. Either party may immediately terminate this Agreement for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services rendered and expenses incurred through the effective date of termination.

Confidentiality

Each party (Recipient) shall hold in confidence and not disclose or use any Confidential Information of the other party (Discloser) except as necessary to perform its obligations under this Agreement. "Confidential Information" means non-public business, technical, financial or other information disclosed by Discloser that is marked confidential or that by its nature should reasonably be understood to be confidential.

The obligations set forth in this Confidentiality section shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties agree that exclusive jurisdiction and venue for any dispute arising under this Agreement shall be the state and federal courts located within that State, unless otherwise mutually agreed in writing.

Entire Agreement

This Agreement, including any exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
