BUSINESS LAYOUT AGREEMENT

This Business Layout Agreement (the Agreement) is made as of between Client Name: , located at , and Layout Provider Name: , located at .

RECITALS

WHEREAS, Client operates a business at the Premises and requires professional layout, space-planning, and related documentation to organize operations, fixtures, and workstations; and

WHEREAS, Layout Provider is engaged in the business of preparing commercial layout plans, drawings, and specifications and represents that it has the professional competence and resources to perform the services described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Layout Provider will prepare, deliver and, if applicable, oversee installation of the layout work for Client.

SCOPE OF WORK

Deliverables shall include all final drawings, annotated plans, and a written implementation checklist sufficient for Client to reproduce the layout at the Premises. Any additional services beyond the written Scope of Work require a written change order executed by both parties.

PAYMENT TERMS

Deposit: Client shall pay a non-refundable deposit equal to at execution. Invoices are payable within days of invoice date. Payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

If any amount due is not paid within the specified grace period, Client shall pay interest on the overdue amount at the rate of (or the maximum rate permitted by law), plus any reasonable costs of collection, including attorneys’ fees.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of fifteen (15) days after written notice specifying the breach.

Upon termination, Layout Provider shall deliver to Client all completed Deliverables and any work in progress for which Client has paid. Client shall pay for all work performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may obtain confidential information of the other party. "Confidential Information" includes business plans, financial information, drawings, specifications, and other non-public information disclosed in writing or identified as confidential. The recipient shall not disclose or use Confidential Information except as necessary to perform the obligations under this Agreement. Confidentiality obligations shall not apply to information that (a) is or becomes publicly available through no wrongful act of the recipient; (b) was rightfully in the recipient's possession prior to disclosure; or (c) is rightfully received from a third party free to disclose it.

Upon termination or written request, each party shall return or destroy the other party's Confidential Information and provide a certification of such return or destruction if reasonably requested.

INTELLECTUAL PROPERTY AND DELIVERABLES

Layout Provider retains all intellectual property rights in draft and preliminary materials, design methodologies, and standard details. Upon full payment, Layout Provider grants Client a non-exclusive, perpetual license to use the final Deliverables solely for the Client's operations at the Premises. Any reuse or adaptation of Deliverables for other locations or purposes requires Layout Provider's prior written consent and may require additional compensation.

INDEMNITY; LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from claims arising out of its negligent acts or omissions in connection with performance under this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid by Client to Layout Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within that State, and the parties submit to the exclusive jurisdiction of those courts.

ENTIRE AGREEMENT

This Agreement, together with any exhibit or signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Layout Provider may assign rights to collect unpaid fees. Notices required under this Agreement shall be in writing and delivered to the contact addresses set forth above or to such other address as a party designates in writing.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
