BUSINESS LAYOUT TEMPLATE

This GENERAL BUSINESS AGREEMENT (the "Agreement") is entered into as of Effective Date: by and between Company Name: ("Company") and Client Name: ("Client"). Company and Client are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Company is engaged in the business of developing, planning and implementing commercial business layouts, floor plans, and related operational documentation; and

WHEREAS, Client desires to retain Company to prepare a business layout and related deliverables on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties intend for this Agreement to set forth the full understanding between them with respect to the subject matter hereof.

SCOPE OF WORK

Deliverables shall include conceptual layouts, one set of revisions as specified in the scope_of_work, final layout files in electronic format, and a written summary of assumptions and constraints. Any work beyond the stated scope will be treated as a change order pursuant to the Change Order procedure described below.

PAYMENT TERMS

Late payments shall accrue interest at a rate of on outstanding balances, or the maximum rate permitted by applicable law, whichever is lower. Client is responsible for all collection costs, including reasonable attorneys' fees, incurred by Company to collect past due amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within days after written notice. Either Party may terminate for convenience upon written notice to the other Party subject to payment for all work performed through the effective date of termination.

CONFIDENTIALITY

Each Party (the "Receiving Party") will hold in confidence and not disclose to any third party any Confidential Information of the other Party (the "Disclosing Party"). "Confidential Information" means non-public business, technical or financial information, including designs, plans, specifications and pricing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidentiality obligations shall remain in effect for a period of years following termination or expiration of this Agreement. Exceptions include information that is or becomes publicly known through no fault of the Receiving Party, was independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or was rightfully obtained from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of laws rules. The Parties submit to the exclusive jurisdiction of the courts of that jurisdiction for purposes of dispute resolution.

ENTIRE AGREEMENT

This Agreement, including any executed appendices or change orders, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both Parties.

NOTICES

Notices shall be deemed given when delivered by hand, upon confirmed receipt of delivery by certified mail, or upon confirmation of transmission by email when accompanied by a copy sent by a method that provides evidence of receipt.

MISCELLANEOUS

The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture or agency relationship. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
