BUSINESS LBP AGREEMENT

This Business LBP Agreement (the Agreement) is entered into effective as of by and between , with a principal place of business at (hereafter "Party A"), and , with a principal place of business at (hereafter "Party B").

WHEREAS

WHEREAS, Party A represents that it possesses experience, personnel and resources to perform the business services described in this Agreement; and

WHEREAS, Party B desires to engage Party A to perform such services under the terms and conditions set forth herein, and Party A is willing to perform those services for Party B subject to those terms and conditions; and

WHEREAS, the parties intend that this Agreement set forth the entire understanding between them regarding the subject matter hereof.

SCOPE OF WORK

Party A shall perform the Scope of Services with due professional care and in a commercially reasonable manner consistent with industry standards. Any material change to the Scope of Services shall require prior written approval by the authorized representatives of both parties.

PAYMENT TERMS

Any undisputed amount not paid when due shall accrue interest at the rate of or the maximum rate permitted by law, whichever is lower. In addition, the non-paying party shall be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the effective date of termination. Termination for material breach is effective upon written notice if the breaching party fails to cure within thirty (30) days of receipt of such notice, unless immediate termination is warranted to prevent irreparable harm.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by either party relating to business operations, proprietary technology, trade secrets, pricing, customer lists, financial information and other information reasonably understood to be confidential. Confidential Information does not include information that: (a) is or becomes generally available to the public other than by a breach of this Agreement; (b) was in the receiving party's possession prior to disclosure by the disclosing party; (c) is rightfully received by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Each party agrees to: (i) restrict disclosure of Confidential Information to its employees, subcontractors and agents who have a legitimate need to know and are bound to confidentiality obligations at least as protective as those contained herein; (ii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement; and (iii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Notwithstanding the foregoing, obligations with respect to Confidential Information shall survive termination of this Agreement for the period specified above and as necessary for protection of trade secrets under applicable law.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement will not violate any agreement or instrument binding on it; and (c) it will comply with all applicable laws and regulations in performing its obligations.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles. Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the chosen jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement and understanding between the parties with respect to its subject matter and supersedes all prior negotiations, representations, agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and executed by authorized representatives of both parties.

NOTICES

Notices shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses set forth above or such other address as a party designates by notice in accordance with this section.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale of substantially all assets or similar transaction.
