RECITALS

WHEREAS, Company A possesses certain capabilities, resources or intellectual property that are necessary or useful to develop and commercialize specified products or services described below; and

WHEREAS, Company B possesses complementary expertise and agrees to collaborate with Company A on the Scope of Work set forth in this Agreement under the terms and conditions stated herein.

WHEREAS, the parties desire to set forth their respective responsibilities, payment arrangements, confidentiality obligations and the term for the collaboration.

SCOPE OF WORK

The parties will perform the tasks and deliverables described below. The party responsible for each deliverable must meet the milestones and quality standards specified. Changes to the Scope of Work must be agreed in writing by authorized representatives of both parties.

PAYMENT TERMS

As consideration for the services and deliverables set forth in the Scope of Work, Company B shall pay Company A in accordance with the terms below. Unless otherwise provided, invoices shall be issued in sufficient detail to permit verification and shall be payable in U.S. dollars.

Any amounts not paid when due shall accrue interest at the lesser of (i) the rate of percent per month, or (ii) the maximum lawful rate. In addition, the non-paying party shall be responsible for reasonable collection costs and attorney's fees incurred by the unpaid party in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date or until earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all Confidential Information disclosed by the other party (the "Disclosing Party") and shall not disclose or use such information except as necessary to perform its obligations under this Agreement. Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was lawfully in the Receiving Party's possession prior to disclosure; (iii) is rightfully received by the Receiving Party from a third party without restriction; or (iv) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect the Disclosing Party's Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination or written request, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party, except to the extent retention is required by law or reasonable archival backup.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located within the chosen jurisdiction, and the parties submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
