This Business LCA Template (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

Recitals

WHEREAS, Client operates a business engaged in activities that require legal, administrative, or operational compliance support and seeks to engage Service Provider to perform certain compliance, consulting, and related services as set forth herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the services described in this Agreement and will do so in a professional and workmanlike manner; and

WHEREAS, the parties desire to define their respective rights and obligations with respect to the services, payment, confidentiality, term and termination, and other matters contained herein.

Scope of Work

Service Provider shall perform the services described below. Service Provider shall provide personnel, materials, and supervision necessary to perform the services and shall coordinate with Client's designated representative.

Payment Terms

Client shall pay Service Provider for the services described in the Scope of Work in accordance with the terms below. All amounts are payable in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Late payments shall incur interest at the lesser of the rate specified below or the maximum rate permitted by law. Interest shall accrue daily from the due date until paid in full.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause upon written notice to the other party delivered at least days prior to the effective date of termination. Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within thirty (30) days after written notice specifying the breach. Termination for cause shall not prejudice any remedies available at law or equity.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information that is disclosed by one party to the other in oral, written, or electronic form and is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial data, client lists, trade secrets, and technical information.

The receiving party shall: (a) hold the disclosing party's Confidential Information in strict confidence and not disclose it to any third party except as permitted herein; (b) use the Confidential Information solely to perform obligations or exercise rights under this Agreement; and (c) take reasonable measures to protect the confidentiality of the Confidential Information, at least as protective as those it uses to protect its own confidential information of a similar nature.

The obligations in this section shall not apply to information that (i) is or becomes publicly known through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, (iii) is independently developed without use of the Confidential Information, or (iv) is required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party to seek protective treatment.

Liability and Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of the representations, warranties, or obligations under this Agreement. Except for indemnification obligations and breaches of confidentiality, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous proposals, negotiations, representations, and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, nationally recognized overnight courier, or personal delivery, and shall be deemed given when received.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that entering into this Agreement will not violate any other agreement to which it is a party, and that it will comply with all applicable laws and regulations in the performance of its obligations under this Agreement.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition, or sale of substantially all of its assets.
