RECITALS

WHEREAS, Client Name: desires to obtain restricted commercial authorization for certain business services and deliverables described below; and

WHEREAS, Service Provider Name: represents that it has the expertise, personnel and authority to provide such services under the terms of this Business LCAS Form; and

WHEREAS, the parties intend by this document to set forth the limited corporate authorization and the terms, limitations and conditions governing the provision of those services and any associated deliverables.

PARTIES AND AUTHORIZATION

SCOPE OF WORK

The Service Provider shall perform the services and deliver the deliverables described below within the limitations and authorizations granted by Client. The authorization granted under this form is limited to the activities expressly described and excludes any additional delegation of authority not set forth herein.

PAYMENT TERMS

The Client shall pay the Service Provider for the authorized services as follows:

Interest shall accrue on past-due amounts at the lesser of (a) per month or (b) the maximum rate permitted by applicable law. A grace period of days shall apply before late fees commence. The Client shall also reimburse reasonable collection costs and attorneys' fees incurred in enforcing payment.

TERM AND TERMINATION

This authorization and the obligations under this LCAS Form shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this LCAS Form for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for cause upon material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this LCAS Form, "Confidential Information" means information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) take reasonable measures to protect Confidential Information of the other party; (b) use Confidential Information only to perform its obligations under this Form; and (c) not disclose Confidential Information except to employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that (i) is or becomes public without breach, (ii) is received from a third party without breach of obligation, or (iii) is independently developed.

Upon termination or expiration, each party shall promptly return or destroy the other party's Confidential Information and certify such return or destruction in writing within 30 days, except to the extent retention is required by law or reasonable archival backup systems.

COMPLIANCE, REPRESENTATIONS AND INDEMNITY

Each party represents that it has full power and authority to enter into and perform its obligations under this LCAS Form and that performance will comply with applicable laws and regulations. The Service Provider shall perform services in a professional and workmanlike manner. The Service Provider shall indemnify, defend and hold harmless the Client from and against third-party claims arising out of the Service Provider's negligence, willful misconduct or breach of this Form, subject to any limitations agreed in writing by the parties.

GOVERNING LAW

This LCAS Form shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles. Venue for any dispute arising under this Form shall lie exclusively in the state or federal courts located within that state.

ENTIRE AGREEMENT

This LCAS Form, including any attachments or incorporated schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification of this Form must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign its rights under this LCAS Form without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of all or substantially all of its assets.

Subcontracting: The Service Provider may subcontract portions of the services with the Client's prior written consent. The Service Provider shall remain responsible for all acts and omissions of its subcontractors.
