This General Business Agreement (the "Agreement") is entered into effective as of (the "Effective Date"), by and between:

Recitals

WHEREAS, Client and Contractor desire to enter into a commercial relationship pursuant to which Contractor will provide certain services and deliverables for the benefit of Client in connection with the business operations identified herein; and

WHEREAS, the parties contemplate that certain activities may be undertaken through or in coordination with a limited liability company identified as and each party desires to set forth their respective rights and obligations with respect to the Services and related business activities; and

WHEREAS, the parties desire that the terms of their engagement be memorialized in this Agreement.

Scope of Work

Contractor shall perform the services and deliver the work product described below. The parties may amend the Scope only by a written statement signed by authorized representatives of both parties.

Payment Terms

Client shall pay Contractor for the Services in accordance with the following terms.

Late payments shall bear interest and fees as follows:

All fees are payable in lawful currency. Client shall reimburse Contractor for preapproved, reasonable out-of-pocket expenses incurred in connection with performance when supported by documentation.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following written notice. Either party may also terminate for convenience upon the notice period set forth above, subject to payment for Services performed through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all nonpublic, proprietary or confidential information disclosed by the other party (the "Disclosing Party"), whether oral, written or electronic, and shall not use or disclose such Confidential Information except as necessary to perform its obligations under this Agreement. Confidential Information includes, without limitation, business plans, financial information, customer lists, technical data, software, trade secrets and other information that by its nature a reasonable person would consider confidential.

The obligations in this section do not apply to information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) must be disclosed pursuant to a lawful court or governmental order, provided that the Receiving Party provides prompt written notice to the Disclosing Party and cooperates in any reasonable efforts to limit disclosure.

Upon termination or expiration of this Agreement, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party and certify such return or destruction in writing upon request. The confidentiality obligations shall survive termination for a period of three (3) years, except with respect to trade secrets, which shall survive for so long as they remain trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits or written amendments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, both written and oral. Any modification or waiver of this Agreement must be in writing and signed by both parties.

Miscellaneous

The parties are independent contractors. Neither party has the authority to bind the other except as expressly provided in this Agreement. Neither party may assign its rights under this Agreement without the prior written consent of the other, except to a successor in interest in connection with a sale of substantially all of its business or assets.
