WHEREAS

WHEREAS, Party A has identified a prospective commercial opportunity or contact that may be of value to Party B and is willing to provide that information to Party B for the limited purpose of evaluating and pursuing a business relationship with the prospective client or prospect; and

WHEREAS, Party B desires to receive such lead information and may compensate Party A for a successful referral subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that the exchange of lead information occur under appropriate confidentiality protections and with clear terms governing payment and termination.

Lead Details (Intake)

Scope of Work

Party A shall provide identifying information for prospective clients ("Leads") to Party B. The provision of Leads shall include contact information, a summary of expressed needs, and any relevant background reasonably available to Party A. Party A's role is limited to referral and information transfer; Party A will not act as an agent of Party B for negotiation or contracting unless separately agreed in writing.

Payment Terms

Party B shall pay Party A for referrals in accordance with the terms below. Payment obligations become due only upon satisfaction of the defined success criteria for a referral.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Termination does not relieve a party of payment obligations that accrued prior to the effective date of termination.

Confidentiality

Each party agrees to treat all non-public information regarding Leads, pricing, business processes, and related records disclosed under this Agreement as Confidential Information. Confidential Information shall not be disclosed to third parties and shall be used solely for the evaluation and pursuit of the referred opportunity. Reasonable exceptions apply for information that is publicly known or rightfully received from a third party without restriction. The confidentiality obligations survive termination of this Agreement for a period of two years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This document, together with any schedule executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Representations and Certifications

Each party represents that it has full power and authority to enter into this Agreement and that the person signing on its behalf is authorized to bind the party. Neither party will knowingly provide false information about a Lead. Remedies for breach include injunctive relief and damages to the extent permitted by law.
