This Business Leadous Template (the "Agreement") is entered into effective as of by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Client is engaged in the business of offering products and services for sale and seeks qualified prospective customers delivered to Client for the purpose of converting those prospects into paying customers; and

WHEREAS, Provider specializes in generating and delivering business leads and has represented that it can provide leads that meet the parties' mutually agreed qualification criteria; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the generation, delivery, acceptance and payment for such leads under the terms of this Agreement.

Scope of Work

Provider will generate, qualify and deliver leads to Client in accordance with the specifications and acceptance criteria set forth below. Provider shall use commercially reasonable efforts to deliver leads that are accurate, current and obtained in compliance with applicable law.

Payment Terms

In consideration for Provider's services, Client shall pay Provider as follows. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Client shall inspect and either accept or reject delivered leads within the acceptance period specified in the Scope of Work. Rejections must be made in writing with supporting detail and submitted within the agreed acceptance period; undisputed accepted leads will be invoiced in accordance with the Payment Schedule.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of payment obligations for leads accepted prior to termination.

Confidentiality

Each party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means information that is marked confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure, including but not limited to lead lists, customer data, pricing, business plans and trade secrets. Each party shall (a) use the Confidential Information only for the purposes of performing this Agreement; (b) protect the Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations no less protective than those set forth herein. The obligations of confidentiality shall survive termination of this Agreement for a period of two (2) years, except with respect to trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Intellectual Property and Data

Unless otherwise agreed in writing, Client shall own all rights, title and interest in and to any customer data and lead lists delivered under this Agreement, subject to Provider's retained rights in any pre-existing methodologies and tools used to generate the leads. Provider represents that all delivered data is obtained lawfully and that Provider has the right to transfer such data to Client.

Indemnification

Provider shall indemnify, defend and hold harmless Client from and against any losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of any third-party claim asserting that the data or leads provided by Provider infringe any third-party rights or were obtained in violation of applicable law. Client shall promptly notify Provider of any such claim and cooperate in Provider's defense.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including the Scope of Work and any exhibits or written change orders executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
