BUSINESS LEASE CONTRACT

RECITALS

WHEREAS, Lessor is the lawful owner or authorized agent of the premises described below and desires to lease such premises to Lessee on the terms and conditions set forth in this Lease; and

SCOPE OF WORK / PERMITTED USE

Lessee shall use the Premises solely for the following permitted business purposes. Any change in use requires Lessor's prior written consent. Lessee shall be responsible for all improvements, alterations, tenant fixtures and related work unless otherwise agreed in writing.

PAYMENT TERMS

Lessee agrees to pay rent and other charges as follows. All monetary amounts are payable in lawful currency, without offset, deduction or setoff unless expressly provided herein.

TERM AND TERMINATION

The term of this Lease shall commence on Start Date: and shall expire on End Date: unless sooner terminated in accordance with this Lease.

Either party may terminate this Lease for material breach that remains uncured after written notice and the expiration of the notice period stated above. Upon termination, Lessee shall surrender possession of the Premises in accordance with this Lease and remove Lessee's personal property in a timely manner.

MAINTENANCE, REPAIRS, AND ALTERATIONS

Lessee shall, at Lessee's expense, keep the Premises in good order and condition and shall promptly make all necessary repairs resulting from Lessee's use. Lessee shall not make structural alterations or significant improvements without Lessor's prior written consent. Any permitted alterations shall be performed in a workmanlike manner and in compliance with applicable law.

INSURANCE AND INDEMNIFICATION

Lessee shall maintain commercial general liability insurance and property insurance covering Lessee's operations and personal property on the Premises. Lessee shall name Lessor as an additional insured where applicable and provide certificates of insurance upon request. Lessee shall indemnify, defend and hold Lessor harmless from and against all claims, liabilities, losses and expenses arising from Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

CONFIDENTIALITY

Each party acknowledges that during the term of this Lease it may obtain non-public information regarding the other party's business. Each party agrees to hold such Confidential Information in strict confidence and not to disclose it to any third party except as required by law or as necessary to perform obligations under this Lease. Confidential Information shall not include information which is or becomes generally available to the public other than through a breach of this confidentiality obligation.

ASSIGNMENT AND SUBLETTING

Lessee shall not assign this Lease or sublet the Premises or any part thereof without the prior written consent of Lessor, which consent shall not be unreasonably withheld for assignments to affiliates or to qualified assignees. Any assignment or subletting without consent shall be void and shall entitle Lessor to terminate this Lease.

DEFAULT AND REMEDIES

If Lessee fails to pay rent or otherwise breaches any material term of this Lease and fails to cure within the applicable notice period, Lessor may pursue all remedies available at law or in equity, including termination, recovery of rent, damages, and costs of collection, including reasonable attorneys' fees.

GOVERNING LAW

This Lease shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Lease, together with any exhibits or written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No modification or waiver of this Lease shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS
