Maintenance, Repairs and Alterations

Lessee shall, at its expense, keep the Premises in good order and make all non-structural repairs required by ordinary wear and tear except those structural repairs for which Lessor is expressly responsible. Any alterations or improvements by Lessee require Lessor's prior written consent and shall be performed in compliance with applicable law and insurance requirements.

Assignment and Subletting

Lessee shall not assign this Agreement or sublet the Premises, in whole or in part, without Lessor's prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed. Any assignment or subletting without such consent is voidable at Lessor's election.

Default and Remedies

Upon Lessee's default beyond the cure period provided above, Lessor may pursue any remedy available at law or in equity, including termination of this Agreement, recovery of unpaid rent, and damages. No acceptance of partial payment by Lessor shall constitute a waiver of any right to insist upon full performance of Lessee's obligations.

Confidentiality

Each party shall treat as confidential all non-public business information and trade secrets disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is publicly available other than through a breach of this Agreement. The parties' confidentiality obligations shall survive expiration or termination of this Agreement for a period of years.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party designates by written notice. Notices shall be effective upon personal delivery, delivery by nationally recognized overnight courier, or three (3) days after deposit in certified mail, postage prepaid.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of this Agreement.

Entire Agreement; Miscellaneous
