BUSINESS LED AGREEMENT

This Business LED Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: , with principal business address: (hereinafter "Client"), and Service Provider Name: , with principal business address: (hereinafter "Provider").

RECITALS

WHEREAS, Client operates a business engaged in activities that will benefit from improved LED-related services, installations, or consulting; and

WHEREAS, Provider has represented that it possesses the technical expertise, personnel and capability to provide lighting design, LED product sourcing, installation oversight, or advisory services as specified below; and

WHEREAS, the parties desire to set forth their mutual rights and obligations with respect to such services on the terms and conditions contained herein.

SCOPE OF WORK

Provider shall perform the services described above (the "Services") in a professional and workmanlike manner in accordance with industry standards. Any material change to the Scope of Work shall require a written change order signed by both parties setting forth the revised scope, schedule and any adjustment in compensation.

PAYMENT TERMS

Provider shall submit invoices in accordance with the payment schedule above. Unless otherwise stated, Client shall pay undisputed invoices within days of receipt. All amounts are payable in lawful tender of the United States unless otherwise agreed in writing.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of per month (or the maximum permitted by law, if lower). Client shall also be responsible for reasonable collection costs, including attorney fees, incurred by Provider in collecting overdue amounts.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach. Upon termination, Client shall pay Provider for Services performed through the effective date of termination and any non-cancellable commitments incurred by Provider in performance.

CONFIDENTIALITY

Definition: "Confidential Information" shall mean all non-public information disclosed by one party to the other in oral, written, electronic or other form that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (i) hold Confidential Information in strict confidence, (ii) not use Confidential Information except to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidentiality Term: The obligations set forth in this section shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets, for which the obligations shall continue for so long as such information remains a trade secret under applicable law.

Remedies: Each party acknowledges that breach of this confidentiality provision may cause irreparable harm for which monetary damages would be inadequate, and the disclosing party shall be entitled to seek injunctive relief in addition to other remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any litigation arising under this Agreement shall be the federal or state courts located in .

ENTIRE AGREEMENT

This Agreement, including any exhibits or signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification shall be effective unless in a writing signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
