WHEREAS, Client desires to retain Service Provider to perform the services described below on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform such services in a professional manner and agrees to provide such services in accordance with industry standards.

Invoicing and Due Date: Invoices will be issued in accordance with the Payment Schedule and are payable within days of invoice receipt.

Late Payment: Any amount not paid when due shall accrue interest at the rate of % per month (or the maximum lawful rate if lower), plus all costs of collection, including reasonable attorneys' fees.

Taxes: All fees are exclusive of taxes. Client is responsible for any sales, use, or other taxes assessed in connection with the services, except taxes based on Service Provider's net income.

Term and Termination

Term: This Agreement shall commence on the Effective Date and continue until unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon days' prior written notice to the other party. Upon termination for convenience, Client shall pay Service Provider for all work performed and approved expenses incurred through the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach if such breach remains uncured for a period of 14 days after written notice specifying the breach. Termination for cause shall not relieve the breaching party of liability for damages resulting from the breach.

Confidentiality

Definition: "Confidential Information" means nonpublic information disclosed by one party to the other in any form that is marked confidential or that a reasonable person would understand to be confidential under the circumstances.

Obligations: The receiving party will (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, (b) use Confidential Information solely to perform under this Agreement, and (c) not disclose Confidential Information to any third party except as expressly permitted herein.

Exceptions: Confidential Information does not include information that is (i) publicly known other than by breach of this Agreement, (ii) already rightfully in the possession of the receiving party prior to disclosure, or (iii) independently developed without use of the disclosing party's Confidential Information.

Return or Destruction: Upon termination or upon request, receiving party will return or destroy Confidential Information and certify in writing such return or destruction.

Confidentiality Term: The obligations set forth in this section shall survive termination for a period of years, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of state and federal courts located in that State for disputes arising under this Agreement.

Entire Agreement

This Agreement, including any attachments or exhibits executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid provision shall be replaced by a valid provision that most closely reflects the parties' intent.

Authority: Each person signing below warrants that they are authorized to enter into this Agreement on behalf of the party for which they sign.
