BUSINESS LETTER OF AGREEMENT

This Business Letter of Agreement ("Agreement") is made effective as of by and between Client Name: , and Service Provider Name: .

RECITALS

WHEREAS, Client engages in commercial activities and desires to obtain services from Provider in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the experience, personnel, and capacity to perform the services described herein and agrees to perform such services under the terms of this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the services and payment for such services.

SCOPE OF WORK

Provider shall perform the services described above (the "Services") in a professional manner consistent with industry standards and in accordance with any project milestones and deliverables set forth in this Agreement or an attached statement of work. Any material change to the Scope of Work shall require written agreement signed by both parties and may be subject to additional fees.

PAYMENT TERMS

Client shall pay Provider the Total Fee in accordance with the Payment Schedule. Provider shall submit invoices in writing and Client shall remit payment within days of receipt of a proper invoice.

Late payments shall accrue late fees at the lesser of (i) % per month on the outstanding balance, or (ii) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by Provider in collecting overdue amounts.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party with the Notice Period stated above. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days after receipt of written notice specifying the breach. Upon termination, Client shall pay Provider for Services performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

The parties acknowledge that each may disclose Confidential Information to the other. "Confidential Information" means non-public information disclosed in any form that is marked confidential or that a reasonable person would understand to be confidential. Each party agrees: (a) to hold the other party's Confidential Information in strict confidence; (b) not to disclose Confidential Information to any third party except as required for performance of this Agreement; and (c) to use Confidential Information solely for the purposes of performing its obligations under this Agreement. The obligations set forth in this section survive termination of this Agreement for a period of three (3) years, except that trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve any dispute arising under this Agreement by negotiation between senior representatives. If unresolved, disputes shall be resolved by binding arbitration or in the courts located in the governing jurisdiction, as selected by mutual agreement of the parties.

MISCELLANEOUS

Independent Contractor. Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Assignment. Neither party may assign this Agreement or any right or obligation hereunder without the prior written consent of the other party, except that Provider may assign this Agreement in connection with a merger, sale of substantially all of its assets, or corporate reorganization.

ENTIRE AGREEMENT

This Agreement, including all exhibits and statements of work incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements, understandings, representations, and warranties. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above (or to such other address as either party may designate by notice).
