Each party represents and warrants that it has full corporate power and authority to enter into this Letter of Commitment and to perform its obligations hereunder, and that the execution and delivery of this Letter of Commitment has been duly authorized by all necessary corporate action.

Governing Law

This Letter of Commitment shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or related to this Letter of Commitment.

Entire Agreement; Amendments
