What a Business Letter of Transmittal Is

A Business Letter of Transmittal is a concise cover letter sent with one or more documents to explain what is enclosed, who is sending it, and any actions requested of the recipient. It typically lists included items, identifies relevant reference numbers and dates, and provides delivery or processing instructions. The transmittal creates a clear paper trail that helps recipients route materials, track responsibilities, and respond within required timelines, and it is commonly used in corporate, legal, finance, and procurement workflows.

Why use a Business Letter of Transmittal

A transmittal letter reduces confusion by inventorying enclosed items, clarifying next steps, and documenting delivery. It supports accountability and faster processing while serving as a simple audit record that complements the underlying documents.

Why use a Business Letter of Transmittal

Who commonly prepares and receives these letters

Organizations and individuals use transmittal letters whenever documents move between departments, firms, or agencies; they guide recipients and record what was sent.

  • Corporate senders and project managers who transmit contracts, reports, or proposals to counterparties for signature or review.
  • Legal and compliance teams sending case files, exhibits, or regulatory submissions with required identification and routing instructions.
  • Finance and accounting teams delivering invoices, tax forms, or supporting documentation to internal approvers or external payers.

The letter is useful across industries whenever clarity, traceability, and a formal delivery record are needed.

Essential parts of a professional Business Letter of Transmittal

A clear structure makes the transmittal usable by recipients and by records systems. Include standardized headings and concise instructions so the letter can be scanned and processed consistently.

Follow these steps to assemble and send a complete transmittal that recipients can act on immediately.

  • 01
Prepare header: Add sender, recipient, and date
  • 02
List enclosures: Number and describe each item
  • 03
Give instructions: Specify actions and deadlines
  • 04
Sign and dispatch: Sign, attach files, and send

How to configure a digital transmittal workflow

Set up fields and routing so the letter and attachments travel through a predictable, auditable path when sent electronically.

Field Configuration
Signing Order Single signer | Signer then approver
Email Subject Include document list and ID
Reminder Schedule 3 days then weekly until signed
Authentication Email link | SMS code optional

From draft to recipient: digital delivery flow

A simple online workflow reduces manual handling and creates a timestamped record for every step.

  • Upload files: Add transmittal and attachments
  • Place fields: Add signature, date, and initials
  • Assign signer: Enter email and role
  • Send and track: Monitor status and audit trail

Platform considerations for e-signing and distribution

When you shift the transmittal process online, check integrations, supported formats, and security controls before sending.

  • Integrations: Salesforce, NetSuite, Google Workspace support
  • Formats: PDF, DOCX, Excel supported
  • Security: TLS 1.2/1.3 and AES-256

Typical timelines and processing expectations

Set recipient expectations clearly in the transmittal, and allow time for review, signature, and any required notarization or legal checks.

Immediate delivery:

Email or eSignature link sent instantly

Sign-off window:

2–5 business days recommended

Follow-up reminders:

Send first reminder after 3 days

Internal processing:

Record retention:

Save signed copy immediately

Common mistakes to avoid when preparing a transmittal

  • Failing to enumerate attachments: recipients may not be able to verify completeness without a numbered list and file identifiers.
  • Using vague instructions: unspecified or imprecise actions increase back-and-forth and delay critical approvals or payments.
  • Mismatched names or references: inconsistent party names, PO numbers, or contract IDs can cause misfiling or rejection.
  • Skipping signature authority checks: sending a document signed by someone without signing authority can invalidate actions or delay acceptance.

Consequences of errors or omissions

Processing delays: Missing or unclear items
Rejection: Incorrect references
Financial impact: Late payments or penalties
Enforceability risk: Unauthorized signature
Privacy breach: Inadequate data protection
Notary issues: Failure to notarize if required

Real examples of transmittal use in practice

These short examples show how professionals describe enclosures and intended actions succinctly to speed processing.

Tim Martin, Martin Properties

When sending lease packets we include a signed transmittal to list all documents and dates.

  • It specifies signatures required and return method.
  • The approach reduced follow-up queries and ensured tenants and agents could immediately confirm received materials and next steps without phone calls.

Brian Fitzgibbons, Optica Ventures LLC

For investor materials we attach a detailed transmittal that enumerates exhibits and financial schedules.

  • It provides a single contact for questions.
  • That clarity makes due diligence responses faster and helps recipients locate the exact pages referenced in follow-up communications.
