A material breach of this Agreement that remains uncured for 30 days after written notice constitutes grounds for immediate termination. Termination does not relieve the Client of its obligation to pay for services performed and reasonable expenses incurred through the effective date of termination.

Confidentiality

Each party agrees to hold Confidential Information of the other party in strict confidence and to use such information only for the purposes of performing obligations under this Agreement. For purposes of this Agreement, "Confidential Information" includes nonpublic business information, pricing, technical data, trade secrets, customer lists, and other information reasonably understood to be confidential.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets for which obligations shall continue as permitted by law. Confidential Information does not include information that: (a) is or becomes publicly available other than through a breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other's Confidential Information.

Upon written request or upon termination, each party shall return or certify destruction of Confidential Information of the other party, except to the extent retention is required by applicable law or routine backup systems; retained copies shall remain subject to the confidentiality obligations herein.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to that State's conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement, subject to any agreed-upon alternative dispute resolution provisions set forth in writing.

Entire Agreement

This letter, together with any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether written or oral. No modification of this Agreement is effective unless in a writing signed by both parties.
