Services to be provided by Consul shall be strictly limited to ministerial facilitation, authentication, certification, and administrative acts described in the Scope of Work. Consul shall exercise reasonable professional care but does not warrant outcomes beyond its lawful authority or control.

All undisputed amounts not paid when due shall accrue interest at the rate specified above and Company shall reimburse Consul for reasonable costs of collection, including attorneys' fees, where permitted by law.

Either Party may terminate this Agreement for convenience upon providing the notice period stated above. Either Party may terminate immediately for material breach that is not cured within fifteen (15) days of written notice, or for conduct that would reasonably threaten the safety or legal compliance of the other Party.

5. Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public, proprietary information disclosed by one Party to the other in oral, written, electronic or other tangible form that is identified as confidential at the time of disclosure or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each Party shall keep confidential and not disclose Confidential Information except as required by applicable law or as necessary to perform obligations under this Agreement, provided that the receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than a reasonable standard of care. Remedies for breach include injunctive relief and damages.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes by negotiation prior to initiating formal proceedings; where unresolved, disputes will be resolved in the competent courts of the chosen jurisdiction.

7. Entire Agreement

This Agreement, including the Scope of Work and any attachments or schedules executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral, relating thereto. No amendment to this Agreement will be effective unless in writing and signed by authorized representatives of both Parties.
