BUSINESS LETTER TO FILE — GENERAL BUSINESS AGREEMENT

This Business Letter to File and General Business Agreement (the Agreement) is made effective as of by and between:

RECITALS

WHEREAS, Client Name: is engaged in business and maintains internal records for the purpose of documenting material agreements and actions; and

WHEREAS, Contractor Name: possesses the qualifications and capabilities to perform the services described herein; and

WHEREAS, the parties desire to set forth in this written Business Letter to File the binding terms governing the provision of services, payment, confidentiality and legal governance.

SCOPE OF WORK

Contractor shall perform the services, deliverables and tasks described below. Contractor shall provide the services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client agrees to pay Contractor for the services described in this Agreement in accordance with the following terms.

All amounts are payable in lawful currency of the United States unless otherwise agreed in writing. Contractor shall submit itemized invoices referencing the applicable milestone or deliverable. Client shall notify Contractor in writing of any disputed invoice within ten (10) days of receipt. Taxes, if any, are the responsibility of the party required by law to remit such taxes.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination for convenience by either party requires written notice in accordance with the Notices provision below. Upon termination, Client shall pay Contractor for all services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (Recipient) shall hold in strict confidence all non-public information disclosed by the other party (Discloser) that is designated confidential or that, by its nature, should reasonably be understood to be confidential (Confidential Information). Recipient shall not disclose Confidential Information to any third party except as necessary to perform under this Agreement and only after requiring the receiving party to be bound by obligations of confidentiality substantially similar to those herein.

Confidential Information does not include information that (a) is or becomes publicly available other than by breach of this Agreement; (b) is independently developed by Recipient without use of Discloser's Confidential Information; or (c) is rightfully received from a third party without restriction. The confidentiality obligations in this section shall survive termination of this Agreement for a period of unless otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as either party may designate by notice in accordance with this section. Notice is effective upon receipt.
