Confidentiality

Each party acknowledges that, in the course of performance, it may receive confidential or proprietary information of the other party. The receiving party shall (i) hold such information in strict confidence, (ii) use it only for the purposes of performing under this Agreement, and (iii) not disclose it to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential information shall not include information that is publicly available without breach of this Agreement, lawfully received from a third party, or independently developed without use of the disclosing party’s confidential information. Remedies for breach shall include injunctive relief and recovery of damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or relating to this Agreement.

Entire Agreement

This document, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.
