What a Business Level Agreement Is and When It Applies

A Business Level Agreement (BLA) is a formal contract between two business entities that defines expected service levels, responsibilities, performance metrics, reporting obligations, and remedies for noncompliance. BLAs typically specify scope of services, uptime targets, response and resolution times, data handling expectations, confidentiality, and change control procedures. They create measurable standards for delivery between vendors, suppliers, and internal teams, and provide a documented basis for escalation, auditing, and dispute resolution when performance falls short of agreed thresholds.

Why a Clear BLA Matters for Risk and Accountability

A Business Level Agreement reduces operational risk by defining measurable targets and remedies, aligns expectations across parties, and supports regulatory and audit readiness.

Why a Clear BLA Matters for Risk and Accountability

Who Typically Drafts and Signs a BLA

Typical users include procurement, IT operations, vendor managers, legal counsel, and contract administrators overseeing service delivery.

  • Enterprise procurement teams managing vendor SLAs and contract renewals regularly.
  • IT operations ensuring uptime, incident response, and monitoring obligations and metrics.
  • Legal and compliance reviewing liability, data handling, and dispute resolution terms.

BLAs are used across industries where measurable service outcomes and accountability are required between contracting parties.

Core Elements to Include in a Professional BLA

Core sections of a Business Level Agreement define scope, performance metrics, responsibilities, reporting, remedies, and change control procedures to manage expectations and enforceability.

Scope

Specify services covered, in-scope and out-of-scope items, deliverables, operating hours, and any exclusions so parties share a common understanding of contractual boundaries and acceptance criteria.

Performance Metrics

Define measurable KPIs such as uptime percentage, mean time to acknowledge, mean time to resolve, error rates, reporting cadence, and acceptable measurement methods for monitoring and verification.

Responsibilities

Allocate duties for each party: provisioning, maintenance, support tiers, escalation contacts, backup and recovery roles, security obligations, and data stewardship responsibilities to avoid operational gaps.

Reporting

Specify report types, frequency, required data fields, distribution lists, acceptable formats, remediation steps tied to report findings, and submission deadlines to ensure transparency and auditability.

Remedies

Detail remedies for missed targets: service credits, fee adjustments, termination rights, performance improvement plans, and dispute escalation procedures with timelines and required evidence.

Change Control

Incorporate change request workflows, approval authorities, implementation windows, rollback procedures, communication plans, and including documentation, versioning, and notification requirements.

Security and Data Controls to Specify

Encryption: TLS 1.2/1.3; AES-256 at rest.
Access Control: Role-based permissions and MFA.
Audit Trail: Immutable logs recording IP, time, action.
Data Residency: Specify permitted storage regions.
Incident Response: Defined notification windows and remediation.
BAA Availability: Business associate agreement for PHI.

Common Legal and Operational Risks to Address

Service Credit Limits: Caps may restrict recovery.
Data Breach Liability: Potential regulatory fines and damages.
Late Reporting: Missed SLA notifications worsen penalties.
Incorrect Metrics: Disputes over measurement methods.
Termination Risk: Early termination fees or loss.
Tax and Filing: Incorrect filings trigger penalties.

Step-by-Step: Creating and Executing a BLA

Follow a clear sequence when creating and executing a Business Level Agreement to ensure legal, operational, and technical obligations are aligned.

  • 01
Prepare Draft: Collect scope, metrics, roles, and baseline data.
  • 02
Internal Review: Legal and operations review language and exposure.
  • 03
Negotiate Terms: Agree on KPIs, remedies, and change process.
  • 04
Execute & Monitor: Sign, distribute, and implement monitoring and reporting.

Typical Execution Workflow for a BLA

A standard workflow routes the BLA through drafting, review, signature, and ongoing monitoring for compliance and performance reporting.

  • Upload: Attach final draft to the signing platform.
  • Place Fields: Insert signature, date, and initial fields as required.
  • Assign Signers: Set signer order and authentication level.
  • Archive: Store executed BLA with audit trail accessible.

Workflow Settings to Automate for BLAs

Configure an online workflow to automate routing, authentication, and reporting for Business Level Agreements consistently.

Field Name and Configuration Details How to set up this field in workflow
Signature Authentication Level Setting Options Email link, SMS code, or KBA depending on risk.
Routing and Signing Order Rule Sequential or parallel signer order, set approvals.
Monitoring and Reporting Frequency Setting Daily, weekly, or monthly reports with scheduled exports.
Escalation and SLA Enforcement Steps Automatic alerts, escalation contacts, and remedial workflows.

Technical Requirements for Electronic Execution

Ensure your signing platform supports required authentication, audit trails, document formats, and integrations before executing a Business Level Agreement.

  • File Formats: PDF, DOCX, and other standard formats.
  • Integrations: Connectors for CRM, ERP, and storage.
  • Authentication: Support for email, SMS, and SSO.

Key Deadlines and Notice Windows to Define

Key deadlines in a Business Level Agreement govern effective dates, renewal notices, reporting schedules, and breach remediation timelines.

Effective Date:

Date when obligations commence and metrics begin to be measured.

Reporting Schedule:

Specify intervals for performance reports and delivery deadlines.

Renewal Notice Period:

Define notice window for renewal or nonrenewal, commonly 30–90 days.

Breach Cure Period:

Allow a remediation window before termination, typically 15–30 days.

Audit Right Window:

Set timeframe for audit requests and document production, often 60 days.
