BUSINESS LEVEL DOCUMENT

This Business Level Document ("Agreement") is made effective as of by and between the parties identified below.

RECITALS

WHEREAS, Client desires to procure certain business services and deliverables from Service Provider in connection with the Client's operations and commercial objectives; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, equipment and licensure to perform the services described in this Agreement and is willing to perform such services on the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

SCOPE OF WORK

Service Provider shall perform the services and deliver the work product described below. The scope, deliverables, milestones and acceptance criteria are as follows:

Client shall pay Service Provider compensation in accordance with the following terms:

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" includes nonpublic business, technical and financial information disclosed in any form. The receiving party shall (i) use Confidential Information only to perform its obligations under this Agreement, (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations no less restrictive than those herein.

Confidentiality obligations shall continue for following termination or expiration of this Agreement, except to the extent disclosure is required by law or valid order of a court or governmental authority, provided the disclosing party is given prompt notice where permissible.

LIMITATION OF LIABILITY & INDEMNIFICATION

Except for liability arising from a party's gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its breach of this Agreement, negligent acts or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether written or oral. Any amendment or modification must be in writing signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party may designate by notice in accordance with this section.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets or a merger. The failure of either party to enforce any right shall not be deemed a waiver of that right.
