Parties and Effective Date

This Business LGPT Form (the Agreement) is entered into as of (Effective Date) by and between:

WHEREAS

WHEREAS, Client desires to obtain certain business services and deliverables described herein, and Service Provider possesses the skill, experience, and resources to perform such services under the terms set forth in this Agreement.

WHEREAS, the parties intend that the work performed pursuant to this Agreement be governed by the specific scope, payment terms, confidentiality obligations, and other provisions contained below.

Scope of Work

Service Provider shall perform the services and deliver the results described in this Scope of Work. The services shall include all work reasonably necessary to achieve the stated deliverables, and shall be performed in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

In consideration for the services and deliverables provided by Service Provider, Client shall pay Service Provider the fees and reimbursements set forth below in accordance with the schedule and conditions specified.

Late payments shall accrue interest and fees as set forth below. Client acknowledges that timely payment is material to the obligations of Service Provider.

If both a percentage and flat late fee are provided, the greater of the two will apply to any delinquent invoice unless otherwise agreed in writing.

Payment Method

Client will make payments by the method selected below. Service Provider may change accepted methods upon written notice to Client.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above after receipt of written notice specifying the breach. Termination does not relieve Client of its obligation to pay for services performed through the effective date of termination and for non-cancellable commitments made by Service Provider prior to termination.

Confidentiality

Each party shall maintain as confidential all information disclosed by the other party that is marked or reasonably understood to be confidential ("Confidential Information"). Confidential Information does not include information that is (a) already known to the receiving party without restriction; (b) or becomes publicly known other than through a breach of this Agreement; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing its obligations under this Agreement and shall not disclose Confidential Information to any third party except to employees, contractors, or advisors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Representations and Warranties; Indemnity

Each party represents that it has the corporate power and authority to enter into and perform its obligations under this Agreement. Service Provider further represents that all services will be performed in a professional manner consistent with prevailing industry standards. Client agrees to indemnify and hold Service Provider harmless from third-party claims arising from Client-provided materials or Client's misuse of deliverables, except to the extent caused by Service Provider's gross negligence or willful misconduct.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality obligations, neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages, and aggregate direct damages shall not exceed the amount actually paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for any disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including its schedules and appendices (if any) and any mutually executed statements of work, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing. Notices shall be deemed given when received by hand delivery, overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.

Each signatory below certifies that they have the authority to bind the party for whom they sign, and that the information provided in this Business LGPT Form is true and complete to the best of their knowledge.
