WHEREAS, Client Name: (the "Client") desires to engage the Service Provider to perform certain services as described in this Business Liability Form; and

WHEREAS, Service Provider Name: (the "Provider") represents that it maintains appropriate insurance and will perform services in accordance with industry standards; and

WHEREAS, the parties intend by this instrument to set forth the obligations, allocation of risk, and insurance requirements applicable to the services to be provided.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice specifying the nature of the breach. Termination for convenience by either party requires days' written notice.

Insurance and Liability

Insurance Requirements: The Provider shall maintain, at its sole cost, commercial general liability insurance with limits not less than $ per occurrence and $ aggregate, and workers' compensation as required by law.

Limitation of Liability: Except for damages resulting from willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental, consequential, punitive, or exemplary damages, and the aggregate liability of each party arising out of or related to this Agreement shall not exceed the total amount of fees actually paid to the Provider under this Agreement during the twelve (12) month period preceding the claim.

Indemnification

The Provider shall defend, indemnify, and hold harmless the Client and its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from the Provider's negligent acts, omissions, or willful misconduct in the performance of the services. The Client shall promptly notify the Provider in writing of any such claim and shall cooperate in the defense of the claim.

Confidentiality

Each party shall maintain in confidence all confidential and proprietary information disclosed by the other party and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that is (a) already known to the receiving party without restriction at the time of disclosure; (b) publicly known through no fault of the receiving party; (c) rightfully obtained by the receiving party from a third party without breach of any obligation; or (d) independently developed by the receiving party.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by the state or federal courts located within that state, and the parties submit to the exclusive jurisdiction of such courts.

Entire Agreement

This Agreement, together with any attachments and exhibits explicitly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, proposals, warranties, promises, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by an authorized representative of each party.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
