BUSINESS LIBRARY TEMPLATE

Parties and Recitals

This Business Library Template Agreement (the "Agreement") is entered into as of by and between ("Party A") and ("Party B").

WHEREAS, Party A maintains and licenses a curated collection of business forms, templates, procedural checklists, and related documentary materials (the "Business Library") intended for use in commercial operations; and

WHEREAS, Party B desires access to and a license to use certain items from the Business Library for its internal business purposes, and Party A is willing to license access to and use of such materials pursuant to the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the scope of use, payment, confidentiality, and other contractual provisions governing the Parties' respective rights and obligations with respect to the Business Library.

Scope of Work

Party A agrees to provide Party B with access to the Business Library materials identified in the attached schedule or as otherwise specified in writing by Party A. Access granted under this Agreement is limited to the uses described below and subject to the restrictions in this Agreement.

Payment Terms

In consideration of the license and services described in this Agreement, Party B shall pay Party A as follows.

All amounts are payable in United States dollars unless otherwise agreed in writing. Party B is responsible for all applicable taxes, except taxes based on Party A's net income. Fees not paid when due shall accrue interest at the rate specified above and Party A may suspend access to the Business Library until all outstanding amounts are paid in full.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the cure period set forth above following written notice. Upon termination, Party B shall immediately cease use of all Business Library materials and return or destroy any confidential materials in its possession as required under this Agreement. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including pricing, business processes, and selections from the Business Library that are not otherwise publicly distributed.

Each party agrees (a) to maintain the confidentiality of the other party's Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not to use Confidential Information for any purpose other than performance under this Agreement; and (c) not to disclose Confidential Information to any third party except to those employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Intellectual Property and License

All right, title and interest in and to the Business Library, including all intellectual property rights therein, shall remain the exclusive property of Party A or its licensors. Subject to Party B's full and timely payment of fees and compliance with this Agreement, Party A grants Party B a limited, non-exclusive, non-transferable, revocable license to use the licensed materials solely for Party B's internal business purposes as set forth in the Scope of Work. Party B shall not copy, modify, sublicense, distribute, post, sell, or create derivative works from the Business Library materials except as expressly permitted in this Agreement.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from that party's breach of this Agreement or negligent or willful acts or omissions. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL FEES PAID OR PAYABLE BY PARTY B UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If negotiation fails, the parties agree that any unresolved dispute shall be resolved by the courts located in the county of the governing law state, and each party consents to the exclusive jurisdiction and venue of such courts.

Entire Agreement; Amendments

This Agreement, together with any attachments and written schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full corporate or organizational power and authority to enter into and perform its obligations under this Agreement, and that the execution and delivery of this Agreement and the performance of its obligations will not violate any law, regulation, or agreement binding the party.

Miscellaneous

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Party A may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.
