Licensee shall maintain insurance coverage as required by Licensor and shall provide proof of insurance upon request.

INDEMNIFICATION

Licensee agrees to indemnify, defend and hold harmless Licensor and its officers, employees and agents from and against any and all claims, liabilities, losses, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of Licensee's operations, breach of this Business Licence Document, negligence, or willful misconduct. This indemnity survives termination or expiration of this Business Licence Document.

GOVERNING LAW

This Business Licence Document shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

ENTIRE AGREEMENT
