BUSINESS LICENSES TEMPLATE

WHEREAS, the Licensee operates a business described below and seeks a license to lawfully engage in the permitted activity subject to the terms and conditions set forth in this Agreement;

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the issuance, payment, scope and duration of such license.

BUSINESS & LICENSE INFORMATION

SCOPE OF WORK

The Licensor hereby grants to the Licensee a non-exclusive license to conduct the business activities described below at the premises identified above, subject to compliance with this Agreement and applicable law. The license is limited to the activity, location and conditions listed in this Section.

PAYMENT TERMS

License Fee Amount: $ payable in accordance with the schedule below. All fees are non-refundable except as specifically provided in this Agreement.

Late Payment: If any amount due under this Agreement is not received within days of its due date, the Licensee shall incur a late fee equal to of the overdue balance per month or the maximum permitted by law, whichever is less. The Licensee shall also be responsible for collection costs and attorneys' fees incurred by the Licensor in enforcing payment.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. CONFIDENTIALITY

The parties acknowledge that during the term of this Agreement they may disclose business, financial or operational information that is proprietary or confidential ("Confidential Information"). Each party agrees not to disclose, use or permit the use of the other's Confidential Information except as required to perform obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, or was rightfully known prior to disclosure.

COMPLIANCE AND INSURANCE

The Licensee shall maintain all permits, certificates and insurance required by law and indemnify and hold harmless the Licensor from claims arising out of the Licensee's operations, except to the extent caused by the Licensor's gross negligence or willful misconduct. Evidence of insurance shall be provided to the Licensor upon request.

NOTICES

Notices shall be in writing and delivered by hand, certified mail, or nationally recognized courier service to the addresses above and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action arising under this Agreement shall lie in the courts of that state.

ENTIRE AGREEMENT

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach. The parties acknowledge they have had the opportunity to seek independent counsel before executing this Agreement.
