BUSINESS LICENSE AGREEMENT — GL

This Business License Agreement (the Agreement) is entered into as of by and between Licensor: with mailing address , and Licensee: with mailing address .

Recitals

WHEREAS, Licensor owns the right to issue a business license authorizing the operation of certain commercial activities at or under the trade name ; and

Late Payment: If any payment due under this Agreement is not received within days after the due date, Licensee shall pay a late fee equal to of the overdue amount, together with interest as allowed by law on the unpaid balance.

Insurance and Indemnity (GL)

Insurance Requirement: Prior to commencing operations and as a continuing obligation during the Term, Licensee shall procure and maintain Commercial General Liability insurance covering bodily injury, property damage, personal injury, and contractual liability with minimum limits of . Licensee shall name Licensor as an additional insured and shall provide Licensor with a certificate of insurance evidencing such coverage at least prior to the commencement of licensed activities and upon each renewal.

Indemnification: Licensee shall defend, indemnify, and hold harmless Licensor, its agents, officers, and employees from and against all claims, demands, losses, liabilities, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to Licensee's operations, negligent acts, omissions, or breach of this Agreement, except to the extent caused by Licensor's gross negligence or willful misconduct.

Term and Termination

Term: The license granted under this Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause by delivering written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice describing the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other relating to business operations, financial data, trade secrets, customer lists, pricing, and operational procedures, whether disclosed orally, in writing, or by inspection.

Obligation: Each party shall hold the other party's Confidential Information in confidence, shall not disclose it to third parties except as required by law or with the disclosing party's prior written consent, and shall use Confidential Information solely for the performance of obligations under this Agreement. The foregoing obligations shall survive termination of this Agreement for a period of three (3) years.

Governing Law; Remedies

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state identified for governing_law below, without regard to conflict of law principles.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

All notices, requests, demands, and other communications under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

Assignment: Licensee may not assign or transfer its rights or obligations under this Agreement without Licensor's prior written consent, which shall not be unreasonably withheld. Any attempted assignment without such consent shall be void.
