BUSINESS LICENSE LL

This Business License Agreement (the "Agreement") is made effective as of by and between Licensor Name: and Licensee Name: .

RECITALS

WHEREAS, Licensor is the lawful owner of certain rights, trademarks, trade dress, know-how and related intellectual property necessary to operate and market the business identified in this Agreement (the "Licensed Business"); and

WHEREAS, Licensee desires to obtain a license to operate the Licensed Business and to exploit the licensed rights within the scope and territory set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Licensor will grant to Licensee a license to use the Licensed Business; and

SCOPE OF WORK

The Licensor grants to Licensee a license to operate and use the Licensed Business subject to the terms of this Agreement. Licensee shall perform and be responsible for the activities described in the Scope of Work below and shall comply with Licensor's specifications and quality standards set forth in this Agreement.

LICENSE GRANT; RESTRICTIONS

Licensor hereby grants to Licensee a Non-Exclusive    Exclusive license to use the Licensed Business within the territory: . The license granted is limited to the scope described in this Agreement and does not include the right to sublicense except as expressly provided in writing by Licensor.

PAYMENT TERMS

Licensee shall pay Licensor the fees and charges set forth below as consideration for the license rights granted.

All amounts payable under this Agreement are exclusive of taxes. Licensee shall be responsible for all sales, use, value-added and other taxes (excluding taxes based on Licensor's net income) arising from the license and Licensee's operations.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Licensor may terminate immediately upon written notice if Licensee materially breaches any provision and fails to cure the breach within days after receipt of written notice.

Upon termination or expiration, Licensee shall cease all use of Licensor's marks, return or destroy confidential materials, and pay any amounts then due. Termination shall not relieve Licensee of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or would reasonably be understood to be confidential. Confidential information shall not be used or disclosed except as necessary to perform obligations under this Agreement or as required by law. Confidentiality obligations shall survive termination for a period of three (3) years.

Acknowledgement: Licensee acknowledges receipt of confidential information and agrees to be bound by the confidentiality obligations set forth above.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Agreement. Licensor represents that it has the right to grant the license described herein. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE PARTIES DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED.

Indemnification: Licensee shall indemnify, defend and hold harmless Licensor from and against any third-party claims, liabilities, damages, costs and expenses arising out of Licensee's operation of the Licensed Business, breach of this Agreement, or negligent or willful acts or omissions of Licensee.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
