Common Mistakes to Avoid When Preparing the Document

  • Leaving party names or entity types incomplete, which creates ambiguity about who is bound by the agreement and may void enforcement.
  • Failing to specify payment currency or invoicing details, leading to billing disputes and delayed collections.
  • Omitting signature titles or signing capacity statements, which can complicate enforcement if the signer lacked authority.
  • Using vague scope language such as 'best efforts' without measurable deliverables, generating disputes about performance.

Consequences of Incorrect or Incomplete Documentation

Tax Penalties: Incorrect reporting can trigger IRC §6721 penalties for information returns.
Contractual Disputes: Ambiguous terms increase litigation risk and remedial costs.
Payment Delays: Missing invoicing details can prevent timely payment and interest accrual.
Enforceability Risk: Improper signatory authority may render the agreement unenforceable.
Privacy Violations: Improper handling of PHI can breach HIPAA obligations.
Recordkeeping Violations: Failure to retain records may invite regulatory fines.
