RECITALS

WHEREAS, Client desires to retain Service Provider to provide the business line services described herein and Service Provider represents that it has the experience and capability to provide such services in accordance with the terms of this Agreement.

WHEREAS, Service Provider will perform the services for the benefit of Client in accordance with the Scope of Work and Payment Terms set forth below, and both parties desire to set forth their respective rights and obligations in writing.

WHEREAS, the parties agree that the services provided under this Agreement are of a commercial nature and that the terms herein constitute the entire understanding between the parties concerning the subject matter.

SCOPE OF WORK

Services shall include, without limitation, the activities set forth above and any ancillary tasks reasonably necessary for completion. Any change in the Scope of Work must be agreed in writing and signed by authorized representatives of both parties.

PAYMENT TERMS

Monthly    Quarterly    One-time

All amounts are payable in United States Dollars. Unless otherwise agreed in writing, invoices are due within days of invoice date. Late payments shall incur a late fee of per month on any unpaid balance and the prevailing collection costs, including reasonable attorneys' fees, shall be borne by the delinquent party.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party upon days' written notice and an opportunity to cure, provided that the breaching party fails to cure within the specified period. Either party may also terminate for convenience upon days' prior written notice.

CONFIDENTIALITY

Each party acknowledges that, in the performance of this Agreement, it may receive or have access to proprietary or confidential information of the other party ("Confidential Information"). Each party agrees to hold such Confidential Information in strict confidence, to use it solely for the performance of this Agreement, and not to disclose it to any third party without prior written consent of the disclosing party, except as required by law. Confidentiality obligations shall survive termination of this Agreement for a period of years.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct or violation of applicable law in connection with its performance hereunder.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Any disputes arising out of or related to this Agreement shall be resolved in the state or federal courts located in that state, and the parties consent to the exclusive jurisdiction and venue of such courts.

ENTIRE AGREEMENT

This Agreement, together with any written exhibits or schedules attached hereto and executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment, modification or waiver shall be effective unless in writing signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all of the assigning party's assets.
