BUSINESS LITERATURE DOCUMENT

This Business Literature Document (the "Agreement") is entered into as of Effective Date: by and between Client Name: , Client Address: , and Provider Name: , Provider Address: .

RECITALS

WHEREAS, Client desires professionally prepared literature, marketing collateral, or editorial content described as Project Title: (the "Literature") for use in Client's business activities; and

WHEREAS, Provider represents that it has the requisite experience, personnel and ability to prepare, design, edit and deliver the Literature in accordance with the Scope of Work and the terms set forth in this Agreement; and

WHEREAS, the parties desire to define their respective rights, responsibilities and compensation with respect to the creation, delivery and use of the Literature as set forth below.

SCOPE OF WORK

Provider shall perform the services and deliverables described below. Deliverables include written content, graphic design, layout files, editable source files and final print-ready and/or digital files as applicable. Acceptance of deliverables is subject to the acceptance criteria set forth in this Agreement.

PAYMENT TERMS

Client shall pay Provider for the services described above in accordance with the following payment terms. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Late payment interest rate (annual):

Provider shall submit itemized invoices detailing work performed and expenses. Client shall pay undisputed invoices within the period set forth in the Payment Schedule. Disputed amounts must be raised in writing within ten (10) business days of receipt of invoice; the undisputed portion remains payable.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within thirty (30) days after written notice specifying the breach. Upon termination, Client shall pay Provider for all work performed to the effective date of termination and for any non-cancellable commitments made by Provider. Within ten (10) days of termination Provider shall deliver all completed and in-progress deliverables to Client and provide an itemized final invoice.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including drafts, business plans, client lists, financial information and intellectual property.

Each party agrees to (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) use Confidential Information only for the purposes of performing under this Agreement. The foregoing obligations do not apply to information that (i) is or becomes publicly available through no fault of the receiving party, (ii) was rightfully known prior to disclosure, (iii) is independently developed by the receiving party, or (iv) is required to be disclosed by law, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider retains ownership of Provider's pre-existing materials and methodologies. Upon full payment of all amounts due, Provider shall assign to Client ownership of the final delivered Literature and related final files. Provider may retain copies for archival and portfolio purposes, provided such use does not disclose Confidential Information or Client trade secrets.

The parties agree that the deliverables shall be considered "work made for hire" under applicable law. If not a work made for hire, Provider hereby assigns all right, title and interest in the deliverables to Client upon full payment.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by the state or federal courts located in the agreed jurisdiction, and each party consents to the exclusive jurisdiction and venue of such courts.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Notices: All notices shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
