BUSINESS LOB FORM — LINE OF BUSINESS AGREEMENT

WHEREAS, the Service Provider is engaged in the business of providing services and maintains one or more lines of business identified and described herein; and

WHEREAS, the Client desires to retain the Service Provider to perform services related to the Client's specified line(s) of business and the parties wish to set forth the terms governing such engagement.

Scope of Work

The Service Provider shall perform the following services in connection with the line(s) of business described above. The scope shall include but is not limited to the tasks, deliverables and milestones specified below:

Any material change to the Scope of Work that affects cost or timing shall be documented in a written change order and signed by authorized representatives of both parties prior to implementation.

Payment Terms

Invoices shall be issued in accordance with the Payment Schedule and are due within the number of days specified in the schedule. Any payment not received when due shall accrue the Late Payment Fee specified above and the non-defaulting party may suspend performance after providing written notice and a reasonable cure period.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following receipt of written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party (the "Recipient") shall hold in confidence and not disclose to any third party any Confidential Information disclosed by the other party (the "Discloser") except as necessary to perform under this Agreement. "Confidential Information" means non-public business information, trade secrets, customer lists, pricing, technical and operational data, and any other information designated as confidential or which by its nature should reasonably be considered confidential.

The Recipient shall take reasonable measures to protect Confidential Information and shall not use Confidential Information except to perform its obligations hereunder. Confidentiality obligations shall survive for years following termination or expiration of this Agreement.

The undersigned parties acknowledge and accept the confidentiality obligations set forth above.

Representations; Insurance

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations. The Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services performed and shall provide evidence of such coverage upon request.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree that any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within that state unless otherwise mutually agreed in writing.

Assignment and Amendment

Neither party may assign this Agreement or its rights hereunder without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Entire Agreement

This Agreement (including any exhibits or attachments and any executed change orders) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
