BUSINESS LOCATION DOCUMENT

PARTIES AND EFFECTIVE DATE

This Business Location Document (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Operator operates a business offering goods and/or services under the name and requires an identified physical location for the conduct of its business operations;

WHEREAS, Owner controls the premises located at (the "Premises") and is willing to permit Operator to use the Premises for the Permitted Use described herein, subject to the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Late Payment Fee: A late charge of will apply to any amount not paid within days after the due date. Late charges shall accrue monthly and shall not be deemed an exclusive remedy.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice. Additionally, either party may terminate without cause upon days' prior written notice to the other party.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive confidential, proprietary, or trade secret information of the other party ("Confidential Information"). Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not use Confidential Information for any purpose other than performance under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, advisors, or affiliates who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly known without breach, is rightfully received from a third party without restriction, or is independently developed without use of the other party's Confidential Information.

INSURANCE AND COMPLIANCE

Operator shall, at its expense, maintain insurance coverages customary for the Permitted Use, including commercial general liability and property insurance as reasonably required by Owner. Operator shall comply with all applicable laws, codes, ordinances, and permits necessary for the operation of the business at the Premises.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as a party may specify in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties agree to attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration or in the courts located in the county in which the Premises are located, as selected by the non-breaching party.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements and understandings. No amendment or modification shall be binding unless executed in writing by both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: No waiver of any breach or default shall be effective unless in writing and signed by the waiving party. Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Owner may assign this Agreement in connection with a sale of the Premises.
