TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach, or immediately for non-payment or acts presenting an imminent hazard.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party Confidential Information of the Disclosing Party. "Confidential Information" means non-public information disclosed in writing, orally, or by inspection concerning business operations, financial information, customer lists, trade secrets, or proprietary processes. Confidential Information does not include information that is (a) publicly known through no fault of the Receiving Party, (b) rightfully received from a third party without restriction, (c) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or (d) required to be disclosed by law or court order (provided the Receiving Party gives prompt notice to permit the Disclosing Party to seek protective relief).

Upon termination or request, the Receiving Party shall return or destroy Confidential Information and certify such return or destruction in writing. Monetary damages may be inadequate to remedy a breach; therefore, the Disclosing Party shall be entitled to injunctive relief in addition to other remedies.

INSURANCE, INDEMNIFICATION & COMPLIANCE

Business Operator shall maintain, at its expense, commercial general liability insurance and property insurance with minimum limits customary for the type of business conducted at the Premises and shall name Location Provider as an additional insured where applicable. Operator shall comply with all applicable laws, codes, and permit requirements.

Business Operator shall indemnify, defend and hold harmless Location Provider from and against all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Operator's use or occupancy of the Premises, except to the extent caused by Location Provider's gross negligence or willful misconduct.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

This Agreement, including all exhibits and written attachments, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals or communications, whether written or oral. This Agreement may be amended only by a writing signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, the remainder shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets.
