This Business LOEX Document ("Agreement") is made and entered into by and between:

RECITALS

WHEREAS, Client desires to engage Provider to perform specified business services related to letter of exchange administration and related operational support as set forth in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to perform such services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing effective as of Effective Date: .

SCOPE OF WORK

Provider shall perform the services described below in a professional and timely manner consistent with industry standards. Provider will provide personnel, materials, and management necessary to perform the services.

PAYMENT TERMS

Compensation for the services described in the Scope of Work shall be paid by Client to Provider in accordance with the terms set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Invoices shall be submitted by Provider to Client in writing and are due within days of receipt unless otherwise agreed. Late payments shall accrue interest at a rate of % per month (or the maximum rate permitted by law, if lower). Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Provider to recover overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in full force until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing written notice no less than days to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within fifteen (15) days after receiving written notice of the breach. Termination shall not relieve Client of its obligation to pay for services performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in strict confidence all non-public, proprietary, and confidential information received from the other party (the "Disclosing Party") in connection with this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the Receiving Party, is already lawfully in the Receiving Party's possession, or is independently developed without reference to the Disclosing Party's confidential information.

The Receiving Party shall not disclose or use the Disclosing Party's confidential information except as necessary to perform its obligations under this Agreement. These confidentiality obligations shall survive termination of this Agreement for a period of years, or longer to the extent required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws. Exclusive venue for any dispute arising from this Agreement shall be the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

a) Independent Contractor: Provider performs services as an independent contractor and nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture. b) Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets. c) Notices: Notices shall be in writing and delivered by hand, national courier, or certified mail to the addresses specified in the parties' notice information provided separately.
