SCOPE OF WORK

The Service Provider shall perform the services and maintain contemporaneous records and entries that document tasks performed, time expended, results achieved, responsible personnel, and required follow-up. The parties intend that the business log shall serve as a primary record for billing, quality control, and dispute resolution.

Instructions: For each work period, complete a separate entry. Entries must be truthful, complete, and recorded no later than the business day following the work performed. Retain supporting materials as indicated in Recordkeeping below.

PAYMENT TERMS

The business log entries will be used as the basis for invoicing; invoices submitted based on these logs shall be presumed accurate absent manifest error. Payment obligations are as follows:

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breach remains uncured for the notice period stated above. Termination shall not relieve either party of obligations accrued prior to the effective termination date, including payment for services documented in the business log.

CONFIDENTIALITY

All entries, attachments, and supporting materials comprising the business log are Confidential Information. Each party shall not disclose Confidential Information to third parties except as required to perform obligations under this Agreement or as required by law. Confidentiality obligations survive termination for a period of years. Exceptions: information that is or becomes public through no breach, or that was lawfully known by the receiving party prior to disclosure.

GOVERNING LAW

This Agreement and any disputes arising out of the business logs shall be governed by the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This document, including attachments and completed business log entries, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations and understandings. Any modification must be in writing and signed by both parties.

RECORDKEEPING, AUDIT AND RETENTION

The Service Provider shall retain original supporting documents (timesheets, emails, work product) for a minimum of years following the date of each entry. Client or Client's authorized representative shall have reasonable access to inspect logs and supporting materials upon at least days' prior written notice for audit purposes.

The parties agree that properly executed and contemporaneous business log entries shall be admissible as business records and may be relied upon for billing and dispute resolution, subject to applicable law and the parties' rights to challenge entries based on manifest error or fraud.

CERTIFICATION

By signing below, each signatory certifies under penalty of perjury and contractual sanction that: (a) the business log entries submitted under this Agreement are true, complete and prepared in the ordinary course of business; and (b) the signatory is authorized to bind the party on whose behalf the signature is provided.
