BUSINESS LOGO AGREEMENT

This Business Logo Agreement (the "Agreement") is made effective as of Effective Date: by and between:

WHEREAS

WHEREAS, Client desires to obtain from Designer a logo and related graphic identity work as more fully described herein; and

WHEREAS, Designer represents that Designer has the skill, experience and ability to produce the deliverables and is willing to provide such services pursuant to the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

PAYMENT TERMS

Client shall pay Designer the total fee of $ for the services described above.

Late Fee: Any undisputed invoice not paid within days of invoice date shall bear interest at (or the maximum permitted by law).

Transfer of ownership of deliverables and any exclusive rights are conditioned upon full payment of all fees and expenses as set forth in this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall not relieve Client of payment obligations for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information of the other party disclosed in connection with this Agreement and shall not disclose such information except to employees, contractors or advisors who need to know and who are bound to maintain confidentiality. Confidential information shall be retained for years, except information that is or becomes publicly available other than by breach of this Agreement.

OWNERSHIP AND LICENSES

Exclusive, worldwide license to Client upon final payment, with Designer retaining copyright ownership.
Designer retains the right to display the logo and related work in Designer's portfolio, website and marketing materials (subject to confidentiality obligations).

If assignment is selected, Designer shall execute any further documents reasonably necessary to effectuate transfer of copyright upon full payment.

WARRANTIES AND REPRESENTATIONS

Designer warrants that (a) the deliverables are original to Designer and do not infringe the rights of any third party, and (b) Designer has full right and authority to enter into this Agreement and grant the rights herein. Client represents that any materials provided to Designer do not infringe third-party rights and that Client has authority to request the work described herein.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and defend the other from third-party claims arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Except for liability arising from breach of confidentiality or indemnification obligations, neither party shall be liable for consequential, incidental, special or punitive damages. The aggregate liability of either party shall not exceed the total fees paid under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification must be in writing and signed by both parties.
